Contract → planned long-term Class B seat
Draft and steward the multi-stakeholder bylaws, subscription agreement, patronage ledger, and the eventual cooperative conversion. Familiarity with Arkansas cooperative law and IRS Subchapter T preferred.
The right person
An attorney with cooperative, securities, or non-profit experience — ideally with Arkansas bar admission. You don't have to have done a multi-stakeholder co-op before, but you should be willing to dig into Subchapter T, patronage allocation, and the fleet-backed note posture.
What this seat actually owns
- Owns the multi-stakeholder bylaws and the Class A/B/C subscription agreements.
- Reviews the autonomous-actions matrix — every IF/THEN settlement rule the Sovereign OS executes.
- Owns the legal posture of the fleet-backed senior-secured note (not equity, not convertible).
- Drafts the cooperative-conversion documents triggered by the published Flip criteria.
- Sits on the six-expert Safety Net (Lawyer seat) reviewed on every material change.
The rhythm
- 1Contract weeks: bylaws drafting, subscription-agreement review, regulatory reads.
- 2Quarterly: review autonomous-actions matrix changes with the Worker board members.
- 3On-demand: any new revenue stream, any new contract template, any change to the split.
Where this seat can grow
Starts as outside counsel under contract; the intent is to seat a long-term Class B Worker seat post-Flip, subject to the subscription agreement.
